This Driver Independent Contractor Addendum (the "Addendum") is part of the Faltah Terms of Service (the "Terms"). It applies to every user who offers to carry Parcels through the Platform as a Driver ("you"), and is between you and Faltah US, Inc., a Wyoming corporation ("Faltah"). Capitalized terms not defined here have the meanings given in the Terms. If this Addendum and the Terms conflict on a Driver question, this Addendum controls.
1. INDEPENDENT CONTRACTOR RELATIONSHIP
1.1 INDEPENDENT BUSINESS. YOU ARE AN INDEPENDENT CONTRACTOR OPERATING YOUR OWN BUSINESS. YOU ARE NOT AN EMPLOYEE, AGENT, PARTNER, JOINT VENTURER, OR FRANCHISEE OF FALTAH for any purpose, including federal and state tax, employment, unemployment insurance, workers' compensation, and labor laws.
1.2 No benefits. You are not entitled to wages, overtime, benefits, workers' compensation, unemployment insurance, or expense reimbursement from Faltah, except where a law that cannot be waived requires it.
1.3 No authority. You have no authority to bind Faltah, and you must not hold yourself out as Faltah's employee or agent.
1.4 Contract with the Sender. Each Delivery you accept is a contract between you and the Sender. Faltah provides the technology that lets you find Senders, communicate with them, and get paid.
2. COMPLETE AUTONOMY
2.1 Your choice. You decide whether, when, where, and how often to use the Platform. You may accept or decline any Delivery offer, for any lawful reason, without penalty.
2.2 No quotas or schedules. Faltah sets no minimum hours, number of Deliveries, acceptance rate, or work schedule, and does not require you to be available at any time.
2.3 No uniforms or branding. You are not required to wear a uniform, display Faltah signage, or use any particular equipment beyond a smartphone that runs the app.
2.4 Your methods. You choose your route, your vehicle (if it meets Section 3), and how you carry each Parcel, subject only to law and to the delivery and handoff steps the Sender relies on (pickup photo, delivery code or photo).
2.5 Other work. You are free to work for other platforms, businesses, or yourself at any time, including competitors of Faltah.
2.6 Helpers. You may not let another person carry a Parcel you accepted unless that person is also an approved Faltah Driver and the Delivery is transferred to them in the app.
3. DRIVER AND VEHICLE REQUIREMENTS
Throughout the time you use the Platform as a Driver, you represent and warrant that:
(a) License. You hold a valid US driver's license for the class of vehicle you drive, and you will tell Faltah immediately if it is suspended, revoked, or expires;
(b) Identity check. You have completed and passed identity verification through Stripe Identity, and the information you gave is true;
(c) Insurance. You carry active auto liability insurance that meets at least the minimum required in every state where you drive. YOU ARE RESPONSIBLE FOR CONFIRMING THAT YOUR POLICY COVERS CARRYING GOODS FOR COMPENSATION. Many personal auto policies exclude "business use" or delivery activity unless you add a rideshare or delivery endorsement. FALTAH DOES NOT PROVIDE AUTO, CARGO, OR LIABILITY INSURANCE FOR DRIVERS;
(d) Vehicle. Your vehicle is lawfully registered, roadworthy, and meets the safety and inspection standards of your state;
(e) No commercial vehicle. You will not use the Platform with any vehicle requiring a commercial driver's license, or with a vehicle or combination whose gross vehicle weight rating is 10,001 pounds or more;
(f) Safe operation. You will obey all traffic laws, will not use the app in a way that is unsafe while driving, and will never drive under the influence of alcohol or drugs; and
(g) Compliance. You hold any business license or permit your city or state requires for you to carry goods for compensation.
4. EARNINGS AND PAYMENT
4.1 Your earnings. For each completed Delivery, you earn the Driver share of the Delivery Fee shown in the app before you accept, which is 75% of the Delivery Fee, plus 100% of any tip. Faltah keeps the rest as its platform fee. The service fee the Sender pays is never deducted from your earnings.
4.2 Payment. Faltah acts as your limited payment collection agent and collects payment from the Sender for you. Earnings become available 72 hours after Proof of Delivery, unless a dispute is opened, and are paid out through Stripe Connect to the account you link. You must accept Stripe's Connected Account Agreement.
4.3 Disputes and adjustments. If a Sender disputes a Delivery in good faith, the related earnings may be held until the dispute is resolved. Faltah may recover amounts paid to you for a Delivery later found to be fraudulent or not completed, and amounts you owe because of your fault, subject to applicable law.
4.4 Expenses. You are responsible for all costs of your business, including fuel, tolls, parking, vehicle maintenance, insurance, phone, and data.
5. TAXES
5.1 YOUR RESPONSIBILITY. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING, REPORTING, AND PAYING ALL FEDERAL, STATE, AND LOCAL TAXES ON YOUR EARNINGS, including income tax and self-employment tax. Faltah does not withhold taxes from your payouts.
5.2 Information reporting. Faltah, through Stripe Connect, will issue the IRS information returns the law requires, such as Form 1099-NEC or Form 1099-K, when the reporting thresholds are met. You must give accurate taxpayer information (Form W-9) through Stripe. Payouts may be held until you do.
5.3 Tax indemnity. You will indemnify Faltah against any taxes, interest, and penalties assessed against Faltah because of your failure to meet your tax obligations.
6. YOUR CONDUCT AND PARCELS
6.1 You will follow the Terms, including Section 7 (Inspection and Law Enforcement Cooperation) and Section 8 (Prohibited Items). You may decline any Parcel that you suspect contains a Prohibited Item.
6.2 You will take the pickup photo, keep each Parcel secure and unopened, and complete the delivery code or photo step honestly. A false Proof of Delivery is fraud and grounds for immediate deactivation.
6.3 You will use Sender and Recipient personal information only to complete the Delivery. You must not keep it, contact those people for any other purpose, or share it with anyone.
7. DRIVER INDEMNITY
YOU WILL DEFEND, INDEMNIFY, AND HOLD HARMLESS FALTAH AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS, LOSSES, DAMAGES, FINES, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING FROM: (A) YOUR OPERATION OF A VEHICLE; (B) BODILY INJURY, DEATH, OR PROPERTY DAMAGE CAUSED BY YOU; (C) YOUR BREACH OF THIS ADDENDUM OR THE TERMS; (D) YOUR VIOLATION OF ANY LAW; OR (E) ANY CLAIM THAT YOU ARE AN EMPLOYEE OF FALTAH THAT ARISES FROM YOUR OWN REPRESENTATIONS.
8. DEACTIVATION
8.1 Faltah may suspend or deactivate your access for a material breach of this Addendum or the Terms, a safety risk, fraud, an expired license or insurance, a failed identity check, or as the law requires.
8.2 Except where safety, fraud, or the law requires immediate action, Faltah will tell you why and give you a chance to respond. You may ask for a deactivation to be reviewed at support@faltahapp.com.
9. DISPUTES
Any Dispute between you and Faltah, including any Dispute about your classification as an independent contractor, is resolved under Section 17 (Binding Arbitration and Class Action Waiver) and Section 18 (Governing Law and Venue) of the Terms. As a Driver, you are engaged in a business that may involve interstate commerce. If the Federal Arbitration Act does not apply to you, the arbitration agreement is governed by Wyoming law, including the Wyoming Uniform Arbitration Act.
10. TERM
This Addendum continues until you stop being a Driver or your account is closed. Sections 4.3, 5, 7, and 9 survive.
